<국문초록>

 

사립학교법상 임시이사제도에 대해서 그 법적 기능이나 성질에 대해서는 종래 학문적으로 논의된 사례가 거의 없다. 사립학교법 역시 명확한 규정을 하지 않았다. 그러나 임시이사 파견 학교의 수가 많아지고 그 기간이 장기화됨에 따라 국회뿐만 아니라 관할청인 교육인적자원부도 정이사 체제로의 전환을 강하게 요구하고 있다. 따라서 새로운 법적 분쟁의 대상이 되고 있다.

이런 상황에서 2007년에 내려진 대법원의 상지학원 판결은 임시이사제도의 임시성 혹은 일시적인 성격만을 인정하고 있을 뿐, 정이사 전환에 대해서는 입법자에게 그 규율여지를 부여하고 있다. 상지학원 판결이후 개정된 사립학교법은 사학분쟁조정위원회가 심의하여 정이사 선임을 한다고 규정하여 대법원 판결을 축소시켜 이해하고 있다. 다만 “사학분쟁조정위원회 운영규정”은 “임시이사가 선임되기 전에 적법하게 선임되었다가 퇴임한 정식이사”에 대해서 임의적으로 의견청취를 할 수 있다고 규정하고 있다. 이로부터 종전이사들의 법적 지위에 대한 해석은 여전히 필요하게 되었다.

종전이사들의 법적 지위를 정확히 이해하기 위해서는 사립학교법상 임시이사제도의 법적 성격을 명확히 해야 한다. 우리 사립학교법의 규정상 이사 정수의 과반이 넘는 혹은 이사 전원에 대해서 임시이사를 파견하는 것은 해산명령에 준하는 제도로 이해할 수 있다. 사립학교법은 “목적의 달성이 불가능한 때”를 해산사유로 보고 있다. 마찬가지로 임시이사의 파견 역시 이에 준하는 사유가 있을 때 발해진다. 이런 맥락에서 임시이사의 파견은 해산명령이 발해지는 경우 발생하는 문제점을 보완하기 위해서 두어진 제도로 이해될 수 있다.

임시이사제도를 이렇게 이해한다면 종전이사들에 대한 의견청취는 당연히 임의적일 수밖에 없다. 또한 의견청취 역시 법인운영상 필요한 정보전달의 의미로 새길 필요가 있을 것이다. 다만 교육적 열정이 있는 구이사가 있다면 그들의 경험을 학교운영에 활용할 수 있다는 점을 굳이 배제할 필요는 없을 것이다.

<Abstract>

 

Legal Character of Government-nominated (Temporary) Directors in the Private Schools Act

In Korea, if a board of directors of a private school fails to fill a vacancy in the directorate, and, therefore, is deemed incapable of running the school properly, the Ministry of Education can dispatch government-nominated(Temporary) directors to form a temporary board of directors and run the school(Private Schools Act, Article 25). But Private Schools Act had no article on the normalization of the private school foundation. So the appointment of directors by Government-nominated directors(Temporary Board) had been a serious legal issue.

The Supreme Court of Korea nullified director appointments made by such a temporary board of directors, which had been dispatched to a private college in the case of Sang-Ji University(2006Da19504, May 17, 2007, about the Sang-Ji University), because the authority or status of an Temporary Board is limited compared to the full director. Consequently, an appointment of a director by the extraordinary board of directors was a resolution beyond their authority. The court also ruled that the director just before the appointment of the first extraordinary director had the authority to appoint his successor.

In order to deduce this prohibition of infringement on a right of private property, the court conducted excessive theoretical demonstrations on the nature of the trustee system. In other words, "the essence of the trustee system is that the purpose of founding a school, guaranteed by a director who is appointed by the founder, as well as the successive director, who is appointed by the former director, should be permanently maintained."

But this reasoning is adequately applied only if the school foundation and the school are treated as private property. It is a very unlawful deduction if the court assumed a specific person (i.e., a contributor or a director in chief who is a contributor) to be the subject of the right to manage. The Private Schools Act provides that the act of a contribution should be the act of a donation.

The judgements of The Court have the consequences as follows: The 2005 Private Schools Act was expected to improve transparency in school management and prevent abuse of power by school owners. But The National Assembly passed the re-reform bill of the Private Schools Act at 3 July 2007, despite strong opposition from The Left which attempted to block the legislation.

But the 2007 Act do not apply the last successive director any legal status, because the Committee which appointed by the recommendation by the Parliament, President and the supreme court decided the normalization of the private school foundation. The man who nurtures sound citizens and realizes the ideology of hongikingan(meaning “broadly benefiting all-mankind”) should become the director of the school foundation.
