<국문초록>

 

관선이사의 선임이나 관선이사가 선임된 학교법인의 정상화에 있어 정식이사의 선임은 사학분쟁이 아니다. 따라서 알선․중재나 조정의 대상이 아니며 조정위원회 역시 법원의 재판을 갈음하는 대체적 분쟁해결기관이 아니다. 이와 같이 ‘사학분쟁조정위원회’라는 명칭은 법적 실체에 부합하지 않고 심의과정에서 종전이사를 법적 분쟁의 정당한 일방당사자로 오인하는 결과를 초래할 수 있으므로 “사학정상화위원회” 정도로 개칭하는 것이 타당하다.

또한 상지대 판결에서 인정된 종전이사의 법적 지위는 현행 사립학교법에 의하여 전면적으로 부정되었으며, 오히려 학교법인의 해산명령에 갈음하는 관선이사제도, 임원취임승인이 취소된 자의 이사 선임에 대한 특별의결정족수, 학교법인 이사의 선량한 관리자의 주의의무 등은 임원취임승인이 취소된 종전이사를 정식이사의 선임에서 배제할 것을 일반원칙으로 요구한다. 종전이사를 배제하고 학교법인의 지배구조를 변경하여 학교법인을 정상화하더라도 위헌이 아니라는 것이 헌법재판소의 결정이며, 상지대 판결에서 특별히 강조되고 있는 건학이념의 변질도 초래되지 않는다. 따라서 상지대 판결의 취지상 사학의 설립이념이 영원토록 구현되기 위해서는 이사 정수의 3분의 2를 종전이사가 추천하는 자로 선임하여야 한다는 주장은 법적 타당성이 없다.

조정위원회는 사학비리 등으로 학교법인의 설립목적을 달성할 수 없게 하여 임원취임승인이 취소된 종전이사를 고려함이 없이, 사립학교에 있어 교육의 공공성, 국민의 교육을 받을 권리의 보장을 위한 안정적 교육환경의 조성 등을 심의기준으로 하여 이에 적합한 능력과 인격적 신뢰성을 가진 자를 정식이사로 선임하여야 한다. 아무런 권리도 없는 설립자나 종전이사에게 정식이사의 선임에 대한 일정한 지분을 보장하는 것은 입법자에 대한 중대한 도전이며 민주적 법치질서에서는 허용될 수 없는 행위이다.

The Position of the Final Regular Director related to Normalization of a School Foundation in the Private Schools Act

Election of a government-appointed director or a regular director for normalization of a school foundation is not for conciliation or arbitration or a mediation; the Private Schools Dispute Mediation Committee is also not an alternative dispute resolution mechanism replacing the court. Therefore, the term 'the Private Schools Dispute Mediation Committee' does not correspond to its legal substance. Moreover it can make the final regular director appear as an eligible party of legal disputes in the process of deliberation.

The legal position of the final regular director recognized by the Supreme Court in Sangji University case, was denied thoroughly by the current Private Schools Act; prescribing the government-appointed director system, the special quorum to elect as a director the person whose directorship had been divested of, and the duty of care and diligence of a school foundation’s director as a good manager. In short, the Private Schools Act requires, in principle, that the final director who had ever been deprived of his office should be excluded from the appointment as a regular director. According to the Constitutional Court, it is not against the constitution to exclude the final regular director in the way of normalization process and thereby change the ruling structure of a school foundation at such exclusion would not cause any change of its founding purpose.

Therefore, the Mediation Committee should appoint as regular directors those persons with proper ability and morality, considering the public character of education and the need for constructing a stable educational environment to secure the people’s right to education on the one hand, while the principle to exclude the final regular director who made it impossible to achieve the founding purpose of a school foundation on the other.
